These Terms of Service (“Terms”) govern your access to and use of FFLPowered.com (the “Platform,” “we,” “us,” or “our”), a members-only advertising marketplace for licensed firearms dealers. By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Advertising-only service — no involvement in transactions

FFLPowered.com is an advertising platform only. We host listings and connect verified Federal Firearms License (“FFL”) holders with one another. We are not a party to, and do not broker, facilitate, process, ship, escrow, or otherwise participate in any firearm or other transaction between users. Every firearm transfer must be conducted FFL-to-FFL, off-platform, in full compliance with all applicable federal, state, and local laws. All negotiation, payment, transfer, recordkeeping, and delivery are solely between the buying and selling dealers.

2. Eligibility

The Platform is for licensed firearms businesses only. To use it you represent and warrant that: (a) you hold a current, valid FFL; (b) you are at least 21 years of age; (c) you are authorized to act on behalf of, and to bind, the dealer business associated with your account; and (d) you are not prohibited by law from engaging in the firearms business. We may verify, suspend, or refuse access at our discretion.

3. Accounts and verification

• Access requires submission and human review of your signed FFL. Approval is at our sole discretion, and no result of any automated check guarantees approval.
• You must provide accurate, current, and complete information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
• Verification of an FFL confirms only that a submitted license was reviewed against available records. It is not an endorsement, and it does not make us responsible for a dealer’s conduct.

4. Memberships, boosts, and fees

Access to certain features may require a paid membership. Optional paid promotions (“boosts”) and add-ons (such as lot-listing fees and AI market-value estimates) are offered at the prices displayed at the time of purchase. Fees are non-refundable except where required by law or expressly stated. We may change plans, features, and pricing on a going-forward basis. You are responsible for all applicable taxes.

5. Listings and acceptable use

You agree that you will not, and will not permit anyone acting on your behalf to:

• Post inaccurate, misleading, or fraudulent listings, or advertise items you are not lawfully able to sell and transfer;
• Use the Platform to conduct or arrange any transaction that violates the Gun Control Act, National Firearms Act, ATF regulations, or any federal, state, or local law;
• Advertise prohibited items or sell to any person or entity you know or should know is prohibited;
• Misrepresent your identity, licensure, or authority;
• Interfere with, scrape, overload, reverse-engineer, or attempt to gain unauthorized access to the Platform;
• Post unlawful, infringing, defamatory, or harassing content, or upload malware.

You are solely responsible for your listings and other content and for ensuring that every advertisement and transaction complies with all laws applicable to you.

6. AI features are estimates, not appraisals

The Platform offers AI-assisted tools, including listing drafting, plain-English search, and market-value estimates that draw on publicly available information. All AI output is provided “as is,” is generated automatically, may be inaccurate or incomplete, and is not an appraisal, valuation, legal advice, or guarantee of any kind. You are responsible for reviewing, correcting, and confirming any AI-generated content before relying on or publishing it.

7. Dealer-to-dealer dealings and reviews

Transactions, communications, and reviews between dealers are their own. We do not verify the accuracy of user-submitted transaction details or reviews and are not responsible for the conduct, performance, or statements of any user. Any dispute arising from a dealing between users is solely between those users.

8. Your content and license

You retain ownership of the content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your content as necessary to operate and promote the Platform and the services you use (for example, showing your listings in the marketplace and to dealers you share your license with). You represent that you have the rights to grant this license.

9. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LISTING, USER, VERIFICATION RESULT, OR AI OUTPUT IS ACCURATE OR RELIABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ANY DEALING BETWEEN USERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless FFLPowered.com and its owners, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your listings, your transactions with other users, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Compliance is your responsibility

You are solely responsible for complying with all laws and regulations governing your firearms business, including the Gun Control Act, the National Firearms Act, ATF rules, and all state and local requirements. Nothing on the Platform is legal advice. Because the Platform is advertising-only, compliance with transfer, background-check, recordkeeping, and shipping requirements rests entirely with the transacting dealers.

13. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, including if we believe you have violated these Terms or applicable law, or to protect the Platform or its users. You may stop using the Platform at any time. Sections that by their nature should survive termination will survive.

14. Governing law and disputes

These Terms are governed by the laws of the United States and of the State of Texas, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and may notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
